1. Purpose and Scope These General Terms and Conditions of Sale (GTC) govern all sales concluded between the company Flat Cargo (hereinafter “the Seller”) and any professional or individual customer (hereinafter “the Customer”), regarding the provision of services or products offered by Flat Cargo, unless special conditions are agreed upon in writing between the parties.
2. Products and Services Flat Cargo offers logistics solutions, including the supply of pallets, freight transport, and related services. The essential characteristics of the products and services are detailed in the commercial documents (quotes, brochures, website). Any modification of the product or service will be communicated to the Customer prior to the execution of the order.
3. Orders Orders are placed in writing (mail, email, or via our online platform). Any order implies unconditional acceptance of these GTC. The Seller reserves the right to refuse an order for a legitimate reason, notably in the event of default of payment or insolvency of the Customer.
4. Prices Prices are expressed in euros and excluding taxes (HT), unless otherwise stated. The applicable prices are those in effect at the time of the order. Delivery, handling, or other potential charges are the responsibility of the Customer, unless otherwise agreed in writing.
5. Payment Payment is due upon ordering, unless special payment terms are mentioned in the quote or invoice. Payment can be made by bank transfer, check, or credit card. In the event of late payment, late penalties calculated on the basis of three times the legal interest rate will be applied from the due date. Flat Cargo reserves the right to suspend any delivery in the event of non-payment.
6. Delivery Delivery times are given as an indication and do not constitute an obligation of result. In the event of a delivery delay, no penalty may be claimed from the Seller. The transfer of risks to the Customer takes place as soon as the products are handed over to the carrier. The Customer is required to check the condition of the products upon receipt and to notify the carrier and Flat Cargo of any claim within 48 hours.
7. Retention of Title Flat Cargo retains ownership of the products sold until full payment of the price, in principal and accessories. In the event of non-payment, Flat Cargo may claim the products, without prejudice to damages for the losses suffered.
8. Warranty and Liability The products benefit from the legal warranties of conformity and hidden defects. Flat Cargo’s liability is limited to the amount of the order, except in cases of gross negligence or intentional misconduct. Flat Cargo cannot be held liable for indirect losses, such as loss of revenue or profit.
9. Force Majeure Flat Cargo shall not be held liable for any breach of its obligations in the event of force majeure, defined as any unforeseeable and irresistible event (natural disaster, strike, pandemic, etc.) making the performance of services impossible.
10. Right of Withdrawal (for consumers) In accordance with Article L. 221-18 of the French Consumer Code, the consumer Customer has a period of 14 days from the receipt of the products to exercise their right of withdrawal, without having to justify reasons or pay penalties. Returned products must be in perfect condition, in their original packaging. Return shipping costs are the responsibility of the Customer.
11. Data Privacy Personal information collected during the order is used exclusively for its processing. In accordance with the French Data Protection Act (Informatique et Libertés), the Customer has the right to access, rectify, and delete their personal data.
12. Intellectual Property All elements present on Flat Cargo’s commercial documents, website, or other media (texts, images, logos, etc.) are protected by intellectual property law. Any reproduction or use without authorization is strictly prohibited.
13. Applicable Law and Disputes These GTC are governed by French law. In the event of a dispute, the parties undertake to seek an amicable solution before any legal action. Failing an amicable agreement, any dispute will be submitted to the exclusive jurisdiction of the courts of Lyon.
Flat Cargo reserves the right to modify its General Terms and Conditions of Sale at any time. The applicable GTC are those in effect on the date of the order.
